By accessing or using the OPS platform ("Service"), you agree to be bound by these Terms of Service ("Terms"), all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site.
2. Description of Services
OPS provides a comprehensive platform for small to medium-sized businesses (SMBs) to streamline operations, enhance team empowerment, and drive growth through:
- Access to proprietary learning materials, frameworks, tools, and digital downloads.
- Live sessions, including wellness sessions, masterminds, roundtables, workshops, office hours, and networking events.
- One-on-one coaching and mentorship programs for an additional fee.
- Community interaction through forums, live chat, profile networking, and the ability to download exclusive content.
3. Intellectual Property Rights
- Ownership: All content, trademarks, service marks, logos, and brand names used within the Service are the proprietary property of OPS or its content suppliers and are protected by international copyright and trademark laws.
- Member Content: Members retain ownership of their content but grant OPS a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform their content in connection with the Service.
- Prohibition on Unauthorized Use: Any attempt to profit, sell, or present any proprietary material of OPS as one's own, including member-generated content, is strictly prohibited and will result in immediate termination of access and potential legal action.
4. Billing and Payment
- Subscription: Services are billed on a month-to-month basis. There are no long-term commitments or contracts; you may cancel at any time.
- Zero Refund Policy: Except for cases of proven fraud, billing errors by OPS, or as legally required, all payments are non-refundable. If a member is not satisfied after the first month, OPS offers a second month free of charge.
- Payment Processor: We use Stripe for payment processing. Disputes with Stripe will be handled according to their policies.
5. Termination
- By OPS: We reserve the right to terminate or suspend access to the Service at any time, without prior notice, for any reason including, but not limited to, violation of these Terms, illegal activity, or if deemed necessary for the protection of the platform or its members.
- By User: You may terminate your account at any time by canceling your subscription. No refund will be provided for the current billing cycle.
6. User Conduct
- Code of Conduct: Members must adhere to our community guidelines which prohibit harassment, discrimination, disruptive behavior, and any activity that undermines the learning experience of other members.
- Enforcement: Violation of the code of conduct may result in removal from the platform without refund, and in severe cases, legal action.
7. Liability
- Limitation of Liability: To the maximum extent permitted by law, OPS will not be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with the Service or these Terms.
- Indemnification: You agree to indemnify, defend and hold harmless OPS, its affiliates, officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Service or any breach by you of these Terms.

10. Dispute Resolution
- Mediation: Any disputes will be mediated by Steven S. Safak VC or a designated mediator. If mediation fails, the dispute will be resolved through binding arbitration in Millersville Maryland, USA.
- Class Action Waiver: You agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis, and you waive your right to participate in a class action lawsuit or class-wide arbitration.
